There are some smaller U.S. banks that don’t care if your foreign-owned LLC has a virtual address. But large U.S. banks tend to require that foreign-owned LLCs have a physical business address - that is, a real office address or home office address - and will not accept anything less, including relatively expensive virtual office arrangements with companies like Regus. The Corporate Transparency Act (or "CTA") will cost you $500 per day—and up to two years in prison—if you own a US company and violate the new rules. This federal law came into effect on January 1, 2024 and requires companies that are registered to do business in the United States to disclose information about their beneficial owners. There are some limited exceptions, but if you have an LLC, C-corp, limited partnership or similar entity doing business in the United States, the new law applies to you. Congress passed the CTA to combat money laundering, terrorist financing, corruption, and tax fraud in the United States. In short, you need to provide identifying information about the corporate entity and its owners to the U.S. Treasury's Financial Crimes Enforcement Network (or "FinCEN"). If you formed your U.S. company before January 1, 2024, then you have until January 1, 2025 to meet the reporting requirements. However, if you establish your U.S. company in 2024, you have only 90 days to provide your beneficial ownership information. This phase typically lasts at least 4 four months but can take considerably longer depending on how much time you need to make the requisite investments in your E2 enterprise, open the business (preferably with at least one employee), and provide the supporting documentation. Phase 2: The Application In this phase, we prepare your E2 visa application. It normally takes about 30 days but can be expedited upon request or if necessary. And when it's ready, we submit your application to the U.S. embassy or consulate in your home country or, in some cases, USCIS. The process allows an eligible beneficiary to be considered for parole into the United States on a case-by-case basis while they wait for their family-based immigrant visa to become available It's available by invitation only to certain petitioners with an approved green card petition on behalf of an Ecuadorian beneficiary. More specifically, the Department of State’s National Visa Center (NVC) will begin issuing invitations to certain U.S. citizen or lawful permanent resident petitioners whose Form I-130 on behalf of an Ecuadorian beneficiary has been approved. When a petitioner receives one of these invitations, they can begin the FRP process by filing Form I-134A, Online Request to be a Supporter and Declaration of Financial Support, and requesting to be a supporter of the principal beneficiary and any derivative beneficiary spouse and children. The beneficiaries may then be considered for advance travel authorization to travel to the United States to be considered for a discretionary grant of parole. Noncitizens paroled into the United States under this process will usually be considered for parole for up to three years and can request employment authorization while they wait for their immigrant visa to become available. And the second one is super-important. So wait for it. First, under new EB5 reform regulations, if you're interested in obtaining your EB5 visa through a DIRECT investment in your own project, you must be the sole investor in it. Otherwise, you MUST use an EB5 Regional Center project to make your investment. Second, if you knowingly or unknowingly use an unregistered broker, agent, or promoter to select your EB5 project, and that person is paid a commission for your investment therein, USCIS can deny your EB5 petition on that basis. So, if you're dealing with a foreign broker, agent or promoter, make sure they’re a USCIS-licensed agent. Or, if you're dealing with a US broker, agent, or promoter, make sure they're a FINRA licensed broker. This is trickier than you think because you may not realize that you're dealing with an unregistered agent. Maybe you searched for a great EB-5 project on your own and went to the website of an unregistered agent who earned a commission for the referral, and you had no idea. That may be enough for USCIS to deny your visa. So ... be very careful if you're searching for EB5 projects on your own and, better yet, enlist the services of a US-based FINRA-licensed broker. The 4 main policy changes in it are as follows: 1. Border security: The proposal would renew construction of the border wall, boost retention for Border Patrol agents, and reimplement DNA testing at the border. 2. Asylum changes: The proposal would implement the "safe third country" rule, whereby migrants are ineligible for asylum if they transited through another country before showing up at the U.S. border. It would also strengthen the standard for what constitutes “credible fear” of persecution in the asylum seeker's home country. And migrants would be required to request asylum at a port of entry. 3. Parole changes: Parole would be limited to one year with the possibility of a one-year extension. The Department of Homeland Security also would no longer be able to use class-based criteria to grant humanitarian parole. And it would codify the Cuban Family Reunification Program and spousal and child reunification for active-duty military service members. 4. Remain in Mexico: The proposal would revive the highly effective “Remain in Mexico” policy that kept asylum seekers outside of the United States while their cases are being processed. So, what can you do if you aren't willing to comply? Well, you can apply for or renew a nonimmigrant visa until common sense prevails and the Covid vaccine is removed from the list. And there are many good ones, including the E2 investor visa. You could open a U.S. business and hire Americans or others with work authorization to run it for you. Or you can apply for and obtain a vaccine waiver by satisfying the following three requirements: 1. You must be opposed to ALL vaccinations in any form. This can happen after shorter absences from the U.S. as well, especially those that exceed 6 months. Fortunately, there's a simple solution. If you know that you're going to be out of the country for an extended period of time, apply for a Reentry Permit before departure. It's valid for two years. Number 2: Voluntarily Surrendering Your Green Card If you don't want to pay U.S. taxes or just don't want to be a permanent resident anymore, you can file a form I407 to voluntarily surrender your green card. But don't be pressured or tricked by a CBP officer into doing this if you don't want to. Insist on speaking with an immigration attorney and a hearing in front of a U.S. immigration judge, where you'll at least have an opportunity to fight for your green card and permanent resident status. Number 3: Being Convicted of a Crime If you're caught selling or using drugs or committing some sort of felony, you can lose your green card and be deported. Number 4: Commiting Fraud Fraud or willful misrepresentation can lead to loss of your green card and deportation, too. Fraud comes in many forms, such as marriage fraud, lying about your intent when applying for a nonimmigrant visa, or perhaps worst of all, posing as a U.S. citizen in order to cast a fraudulent vote in a U.S. election. Here are two main reasons why #1. Set Aside Categories The EB5 Reform and Integrity Act (“RIA”) of 2022 places strong incentives on rural developments by introducing three visa set-aside categories: * Rural targeted employment area (“TEA”) projects * High-unemployment TEA projects, and * Infrastructure projects. If you invest in any of these categories before the annual set-aside visa supply is exhausted, you will likely get your green card and immigrate to the US must faster than other EB-5 investor applicants because your visa will be drawn from a pool of "reserved visas" that are not subject to cut-off dates and qualify for priority processing from USCIS. In fact, while most EB5 visa projects drag on for years, I spoke with a gentleman recently who runs an addiction treatment regional center whose EB5 investors are being approved in as little as 6 months. In addition, by investing in a TEA project, you reduce the minimum investment requirement in your EB-5 project from US$1 million to US$800,000. Reason #2. No, for at least these 3 reasons. And #3 is the one that confuses most people. #1. Insufficient investment You may think your investment is substantial, but U.S. consular officials tend to require an E2 visa investment of at least $100,000 to pass the substantiality test. #2. Active vs. passive investments The E2 visa requires that your investment be "active," meaning that you must be actively involved in the direction and management of your business. Just transferring money around won’t cut it. #3. Risk of loss The E2 visa requires that your investment be "at risk," meaning that there is a risk that your investment in a U.S. business could fail or result in loss of funds. You can get a nonimmigrant visa without being vaxxed, but you still need to figure out a way to get here by air or ground without showing proof that you did it. Most airlines still require you to show some kind of document or card showing that you've been vaccinated before you board a flight to the US, although there seem to be some exceptions.
